Silent Sparks Terms of Service

This "Terms of Service" document, in conjunction with our Privacy Policy, constitutes the binding agreement ("Agreement") between you, the user of the Silent Sparks application (hereinafter referred to as "User"), and Hidden Leaf Technologies (hereinafter referred to as "we," "us," or "our"). Please note that Hidden Leaf Technologies reserves the right to modify these Terms at any time. Any changes made will be effective upon posting and, where significant, you will be notified via SMS or in-app notification. Your continued use of the Services following notice of changes shall be deemed as your acceptance of those changes.

In this Agreement, "You" and "Your" refer to the User who accepted this Agreement, and "We," "Us," and "Our" refer to Hidden Leaf Technologies and its products, including the Silent Sparks mobile application.

1. Eligibility

Age Requirement: You must be at least 18 years of age to use the Silent Sparks application. By using the Services, you represent and warrant that you are 18 years of age or older. If Hidden Leaf Technologies becomes aware that a user is under the age of 18, it will immediately terminate that user's account and delete associated data without notice.

Geographic Scope: The Services are currently available only to users in India.

Capacity: You represent and warrant that you are legally capable of entering into a binding agreement under applicable Indian law and that you are not barred or otherwise legally prohibited from accessing or using the Services.

2. Description of Services

Silent Sparks is a private, contact-based mutual interest discovery platform. The app allows you to indicate interest in people from your phone contacts. Neither party is notified of a one-sided interest. A notification is only sent to both parties when a mutual interest exists — i.e., when both users have independently indicated interest in each other.

3. Data and Privacy

By using the Silent Sparks app, you acknowledge and agree to the following:

1. Contact List Access: The app will request access to the contact list on your device solely to display your contacts within the app interface. Your contact list is read locally on your device and is not uploaded to or stored on our servers.

2. Like Data Storage: When you indicate interest in a contact by using the "like" feature, only the phone number of that contact is stored on our servers for the purpose of detecting mutual interest. No other contact information is transmitted or stored.

3. Personally Identifiable Information: Your phone number and dial code will be stored on Hidden Leaf Technologies' servers for the purpose of account authentication and mutual match detection.

4. Third-Party Services: Your phone number may be shared with 2factor.in solely for the purpose of delivering OTP verification messages. Our use of third-party services is governed by our Privacy Policy.

4. User Conduct and Prohibited Activities

By using the Services, you agree not to:

1. Use the Services if you are under 18 years of age.

2. Use the Services for any unlawful purpose or in violation of any applicable laws or regulations, including but not limited to the Information Technology Act, 2000 and the DPDP Act, 2023.

3. Harass, abuse, harm, stalk, threaten, or otherwise violate the legal rights of other users.

4. Impersonate any person or entity or falsely state or misrepresent your affiliation with a person or entity.

5. Attempt to gain unauthorised access to any part of the Services, other user accounts, or computer systems connected to the Services.

6. Use the Services to collect or harvest personal information about other users without their knowledge or consent.

7. Transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable.

8. Use the Services in any manner that could damage, disable, overburden, or impair the Services or interfere with any other user's use of the Services.

9. Use any automated means, including bots, scrapers, or data mining tools, to access or interact with the Services.

Hidden Leaf Technologies reserves the right to terminate your account immediately and without notice for violation of any of the above.

5. Account Termination

By You: You may delete your account at any time by contacting us at legal@silentsparks.in. Upon account deletion, your data will be removed from our servers within 30 days in accordance with our Privacy Policy.

By Us: Hidden Leaf Technologies reserves the right to suspend or terminate your account and access to the Services at any time, with or without cause, and with or without notice. This includes, but is not limited to, situations where we believe you have violated these Terms of Service, where you are found to be under 18 years of age, or where your continued use poses a risk to other users or the Services.

6. Representations and Warranties

By using the Silent Sparks service, you represent and warrant that:

1. You are at least 18 years of age.

2. You are authorised to accept and agree to these Terms of Service on your own behalf.

3. You possess the legal capacity necessary to participate in the services provided by Silent Sparks.

4. You are executing this Agreement voluntarily and without any form of coercion.

5. All information you provide to us is accurate, current, and complete.

7. Disclaimer

We provide our Services "as is," and we make no warranties or representations whatsoever with respect to the Services, including any:

(a) Warranty of merchantability;
(b) Warranty of fitness for a particular purpose;
(c) Warranty of title; or
(d) Warranty of performance or results.

These warranties are neither expressed nor implied by law, course of dealing, course of performance, usage of trade, or any other means.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL HIDDEN LEAF TECHNOLOGIES, ANY OF ITS DIVISIONS, OR ANY OF THEIR DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM, OR DIRECTLY OR INDIRECTLY RELATED TO, THE USE OF, OR THE INABILITY TO USE, THE SERVICES AND MATERIALS RELATED THERETO. IN NO EVENT SHALL THE TOTAL AGGREGATE LIABILITY OF HIDDEN LEAF TECHNOLOGIES TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE AMOUNT, IF ANY, PAID BY YOU TO HIDDEN LEAF TECHNOLOGIES IN THE SIX MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to defend, hold harmless, and indemnify Hidden Leaf Technologies and its directors, officers, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses arising from: (i) your use of and access to the Services; (ii) your violation of any term of this Agreement; or (iii) your violation of any third-party right, including any intellectual property or privacy right.

10. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. The courts of Bengaluru, Karnataka, India shall have exclusive jurisdiction to adjudicate any dispute arising out of or in connection with this Agreement.

In the event of any dispute, claim, or controversy arising out of or relating to this Agreement or the breach thereof, the parties shall first attempt to resolve the dispute amicably through good faith negotiations. If the dispute is not resolved within 30 days of written notice, either party may seek relief from the courts of Bengaluru, Karnataka.

11. Miscellaneous

Severability
The invalidity or unenforceability of any provision of this Agreement shall not affect the validity or enforceability of any other provision of this Agreement, which shall remain in full force and effect.

Waiver
Our failure to exercise or enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision.

Communication
If you provide us with your phone number, you agree and consent to receive text messages from us. These messages may include transactional communications related to the services we offer, such as OTP verification, administrative notices, service announcements, or changes. You may opt out of non-essential messages at any time by contacting us at legal@silentsparks.in. Please note that opting out of OTP messages will prevent you from using the app.

Entire Agreement
This Agreement, together with our Privacy Policy and CSAE Policy (https://silentsparks.in/child-safety-policy), constitutes the entire agreement between you and Hidden Leaf Technologies with respect to your use of the Services.

Intellectual Property
All content, features, and functionality of the Services, including but not limited to text, graphics, logos, and software, are the exclusive property of Hidden Leaf Technologies and are protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from any part of the Services without express written permission from Hidden Leaf Technologies.
